These Terms and Conditions (“Terms”) govern your access to and use of the website located at [https://www.micbeveragemachine.com/] (the “Site”), owned and operated by Jiangsu MIC Machinery Manufacturing Co., Ltd, a company registered in Jiangsu Province,with registered address Building No.7 No.16 No.22 Lansheng Phoenix IndustrialPark, No.8 Jifu Road, Zhangiiagang, email: market@micbeveragemachine.com, WhatsApp / Tel: ‪0086-18112670069.

By accessing, browsing the Site, submitting an inquiry, requesting a quotation, placing an order or downloading technical documents from the Site, you (“Buyer”, “you”) agree to be bound by these Terms. If you do not agree to these Terms, you may not use this Site.

1. Definitions

- “Seller”: [Your Company Full Name]
- “Goods”: machinery, equipment, spare parts, accessories and related technical services quoted by Seller.
- “Quotation”: written price offer sent by Seller to Buyer.
- “Contract”: formal proforma invoice (PI) or sales confirmation signed / confirmed by both parties, which shall prevail over these Terms in case of conflict.
- “Delivery Date”: estimated delivery time stated in PI, subject to force majeure and Buyer’s confirmation of drawings / prepayment.

2. Eligibility

You represent that you are a business entity or authorized representative of a business, with full legal authority to enter into binding purchase agreements. You must be at least 18 years old. You may not use this Site for any illegal, unauthorized or infringing purpose.

3. Quotation & Price

1. All quotations from Seller are valid for [30] calendar days unless otherwise written. After expiry, Seller reserves the right to revise price without notice.
2. Prices quoted are [EXW / FOB / CIF, pick one]. The price excludes import duties, customs clearance fees, local tax, inland transportation at destination, installation, commissioning and training, unless explicitly listed in quotation.
3. Seller may adjust prices due to raw material fluctuation, exchange rate change or government policy adjustment before receiving full prepayment.
4. All prices on the Site are for reference only. No binding sales contract is formed until a formal Proforma Invoice is confirmed and prepayment is received.

4. Order, Payment & Deposit

1. Order is confirmed only after Buyer signs back the PI and pays the agreed deposit.
2. Payment term: [e.g. 30% deposit, 70% balance before shipment]. Payment methods: T/T bank transfer, [other payment method].
3. If Buyer delays deposit payment beyond quotation validity, Seller is not obligated to reserve stock, material or production schedule.
4. Buyer shall not initiate chargeback unreasonably. Any disputed payment must be negotiated first between both parties.

5. Production, Inspection & Acceptance

1. Seller will follow agreed technical specifications, drawings and configuration confirmed by Buyer. Any change requested by Buyer after production starts will generate extra cost and lead time.
2. Pre-shipment inspection: Buyer may arrange inspection at Seller’s factory before shipment at Buyer’s own cost.
3. Acceptance: Buyer shall inspect outer package and equipment appearance within [7] working days after goods arrival. Hidden quality issues shall be notified in writing with photos/videos within [15] days after arrival. Failure to notify within such period will be deemed as acceptance of the goods.
4. Acceptance standard follows the technical agreement in PI, not Buyer’s subjective expectation.

6. Shipment, Risk & Title

1. Risk of loss or damage transfers to Buyer at the delivery point under the agreed Incoterms.
2. Title and ownership of the equipment remain with Seller until full payment is completed.
3. Estimated shipping time is non-guaranteed. Delay caused by shipping line, port congestion, customs, force majeure is not Seller’s liability.

7. Warranty

1. Standard warranty period: [12 months] from the date of bill of lading, unless special warranty is written in PI.
2. Warranty covers manufacturing defects only. It does NOT cover: wearing parts, consumables, improper installation, wrong operation, lack of maintenance, overloading, power instability, accident, modification by third party, natural corrosion.
3. Under valid warranty, Seller provides free spare parts (freight cost borne by Buyer). Seller does not bear overseas on-site service cost unless agreed separately.
4. Seller is not responsible for downtime loss, production loss, profit loss or indirect loss caused by equipment failure.

8. Technical Documents & Intellectual Property

1. All drawings, 3D files, manuals, design solutions, photos, videos, logos on the Site are intellectual property of Seller.
2. Buyer may not copy, resell, transfer, reverse engineer or disclose Seller’s technical information to any third party without written permission.
3. Buyer warrants that all specifications, trademarks, logos provided by Buyer for custom machines do not infringe third-party IP. Buyer shall indemnify Seller for any IP claim arising from Buyer’s provided materials.

9. Prohibited Use

You agree not to:

- Hack, attack, scrape the Site in bulk with crawlers for commercial resale without written approval;
- Submit false inquiry, fake company information or fraudulent order;
- Use the Site to distribute malware, infringing content or violate local laws;
- Resell, redistribute Seller’s pictures, catalogues and technical content on other platforms.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SELLER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST PRODUCTION, BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE USE OF THE SITE OR GOODS, EVEN IF SELLER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Seller’s total aggregate liability under any claim shall not exceed the total order value of the relevant equipment.

11. Indemnification

You agree to defend, indemnify and hold harmless Seller, its directors, staff and suppliers from and against all claims, damages, fines, legal fees arising out of: your breach of these Terms, your IP infringement, your improper operation of the equipment, your false statement.

12. Force Majeure

Seller shall not be liable for failure or delay of performance caused by events beyond reasonable control, including but not limited to natural disaster, war, sanction, government ban, factory lockdown, supply chain breakdown, port strike. Seller will notify Buyer promptly and may extend delivery time or cancel the order partially or wholly without penalty.

13. Termination

Seller reserves the right to block your access to the Site, reject inquiry or cancel confirmed order, if Buyer violates these Terms, fails to make payment, or is listed on sanction lists.

14. Governing Law & Dispute Resolution

These Terms and any sales contract shall be governed by the laws of **the People’s Republic of China**, excluding conflict of law rules.

15. Amendment

Seller may revise these Terms at any time by publishing updated version on the Site with new effective date. Continued use of the Site after update means you accept revised Terms.

16. Separability

If any clause of these Terms is held invalid or unenforceable, the remaining clauses remain in full force and effect.
